Terms of Service

1. Agreement

By creating a PAD account or using the PAD APIs, you agree to these Terms on behalf of your organization ("Customer"). The service is provided by VisualPay LLC ("PAD", "we").

2. Service description

PAD is a lifecycle marketing platform. You send us profile and event data; we run campaigns, deliver emails on your behalf, surface insights via AI agents, and provide a dashboard for managing it.

3. Acceptable use

You agree not to use PAD for:

• Unsolicited bulk email (spam) or any messaging without a clear opt-in basis.
• Phishing, fraud, or impersonation.
• Content that is illegal, harmful, or violates third-party rights.
• High-risk domains: gambling without license, adult content where prohibited, payday loans, multi-level marketing.

We may suspend sends from your workspace if our deliverability monitors detect abuse patterns. You will be notified and given an opportunity to remedy unless the abuse is severe.

4. Customer data

You retain all rights in the data you send to PAD. You grant us a limited license to process it solely to provide the service. Our handling of personal data is governed by the Privacy Policy.

5. Subscription + billing

• Plans + pricing are listed on the marketing site. Prices may change with 30 days' notice.
• Billing handled via Stripe. Subscriptions renew monthly or annually.
• You may cancel any time; the service runs until the end of the paid period.

6. Service availability

PAD targets 99.9% monthly availability for production endpoints. Scheduled maintenance windows will be announced via the status page when possible.

7. Disclaimer + limitation of liability

PAD is provided "as is". To the maximum extent permitted by law we disclaim all warranties. Our aggregate liability under these Terms is limited to the amount you paid us in the 12 months preceding the claim.

8. Termination

Either party may terminate for material breach with 30 days' written notice if the breach is not cured. We may suspend immediately for security or abuse reasons.

9. Governing law

These Terms are governed by the laws of the State of Florida, USA.
